  1. Intellectual Property

Unless otherwise agreed in writing:

  • All intellectual property (IP) created by Pystrap Technology Limited during the course of delivering services—including code, designs, technical documents, and content—remains our property until full payment has been received.
  • Upon payment, clients receive a non-exclusive, non-transferable, perpetual license to use the deliverables for internal business use only.
  • We retain the right to reuse non-client-specific components, libraries, or frameworks created during project execution across future projects.

If we use any third-party components in our deliverables, the usage rights will be governed by their respective licenses.

  1. Confidentiality

Both parties agree to treat all business, technical, and personal information exchanged during the project as confidential. Neither party shall disclose confidential information to any third party without written consent, unless required by law or a regulatory authority.

  • That the software or systems we build will be free from bugs or errors.
  • That services will always be uninterrupted or available 24/7 unless specifically agreed.
  • That third-party services or integrations will perform without issues.

Any bugs or functional issues identified within 30 days of delivery will be addressed at no additional cost, provided they fall within the agreed scope.

  1. Indemnity

You agree to indemnify, defend, and hold harmless Pystrap Technology Limited, our employees, and subcontractors against any losses, liabilities, costs, or legal fees resulting from:

  • A breach of these Terms by you
  • The infringement of any intellectual property rights based on materials you provide
  • Your misuse or unauthorised use of our services or deliverables
  • Data you supply that is inaccurate, unlawful, or harmful

This indemnity survives the termination of your agreement with us.

  1. Limitation of Liability

To the fullest extent permitted by law:

  • We shall not be liable for any indirect, incidental, special, or consequential losses, including but not limited to lost profits, data, revenue, or opportunities.
  • Our total liability in any matter arising from the service agreement shall not exceed the total amount paid to us in the 12-month period preceding the claim.

  1. Termination

We may terminate our engagement with you if:

  • You become insolvent or cease trading.

Upon termination:

  • You must pay all outstanding fees immediately.
  • We may withhold further work or handover until all dues are cleared.
